Terms and Conditions of Sale

Effective Date: December 2025

These Terms and Conditions (“Agreement”) constitute a binding legal agreement between Newline Filters (“Seller,” “we,” or “us”) and the purchasing entity (“Buyer” or “you”). By placing an order with Newline Filters, you accept these terms in full.

1. Orders and Production

1.1 Make-to-Order Nature: Unless otherwise specified, products listed are manufactured upon receipt of the order. Production lead times provided are estimates based on current factory capacity.
1.2 Order Confirmation: An order is considered binding once the Seller issues a Proforma Invoice (PI) and receives the agreed deposit.
1.3 Cancellation: Once production materials have been sourced or manufacturing has commenced, orders cannot be cancelled or modified without the Seller’s written consent and payment of applicable cancellation fees.

2. Payment Terms

2.1 Standard Terms: Unless otherwise agreed in writing, standard payment terms for international orders are 30% Deposit via T/T to initiate production, with the remaining 70% Balance due prior to shipment.
2.2 Currency: All payments shall be made in US Dollars (USD) unless otherwise stated on the invoice.

3. Shipping and Risk of Loss

3.1 Incoterms: Shipments are typically processed as FOB (Free On Board) or Ex-Works from our designated facility in China, unless a different Incoterm is agreed upon in the Sales Contract.
3.2 Risk Transfer: Risk of loss or damage to the products passes to the Buyer once the goods are tendered to the carrier/freight forwarder. Newline Filters is not liable for transit delays, customs holds, or damage occurring during transportation.

4. Inspection and Acceptance

The Buyer must inspect the goods within 5 business days of receipt. If no claim for defects or quantity discrepancies is made within this period, the products shall be deemed irrevocably accepted.

5. Cross-Reference and Technical Data

5.1 Disclaimer: Part numbers, OEM names (e.g., Caterpillar, Cummins), and images used on this website are for cross-reference and identification purposes only.
5.2 Accuracy: While we strive for accuracy, the Buyer is solely responsible for verifying that the aftermarket part meets the specific requirements of their application before installation.

6. Limitation of Liability

In no event shall Newline Filters be liable for any indirect, incidental, consequential, or punitive damages (including but not limited to loss of profits, downtime, or engine damage) arising from the sale or use of its products. Our maximum liability is strictly limited to the repair or replacement of the defective product itself.

7. Force Majeure

We shall not be liable for delays or failure to perform caused by circumstances beyond our reasonable control, including but not limited to raw material shortages, government actions, natural disasters, or logistics disruptions.
